This Listing Agreement ("Agreement") governs the relationship between Fursat Farms Private Limited (CIN: U55101WB2023PTC266520), trading as Fursat ("Fursat", "we", "us"), and any property owner or authorised representative ("Host", "you") who lists accommodation on the Fursat platform (fursat.fun).

By listing a property on the Platform, you agree to the terms of this Agreement.

1. Relationship

You and Fursat are independent parties. This Agreement does not create a partnership, joint venture, employment, or agency relationship. You are not an employee of Fursat and are solely responsible for your own tax obligations.

2. Eligibility and Representations

By listing a property, you represent and warrant that:

  • You are at least 18 years of age and legally competent to enter into this Agreement.
  • You have the legal right to list the property — whether through ownership, a valid lease, or written authorisation from the owner.
  • The property complies with all applicable local laws, building codes, zoning regulations, and safety standards.
  • You hold all necessary licences, permits, or registrations required for short-term rental in your jurisdiction.
  • The property is covered by adequate insurance.
  • There are no encumbrances, liens, or legal proceedings that would prevent you from offering the property for short-term rental.

3. Listing Accuracy

  • You must ensure that the property description, photos, amenities, location, guest capacity, and house rules are accurate and not misleading.
  • You must update the Listing promptly if any material information changes.
  • Fursat may supplement your Listing with information from public sources (e.g., Google reviews, photos) to improve listing quality. You will be notified of such additions.
  • Fursat reserves the right to edit Listing descriptions for consistency, grammar, or compliance, without altering material facts.

4. Pricing and Commission

  • You set your price (the "B2B Price") — this is the amount you receive per booking.
  • Fursat sets the guest-facing retail price by adding a margin to your B2B Price. The margin covers platform operations, distribution across booking channels, marketing, and customer support.
  • You will always receive your stated B2B Price. There are no hidden fees or deductions from your earnings.
  • Pricing adjustments for weekends, holidays, or peak seasons may be recommended by Fursat but require your approval.

5. Payment Terms

  • Guest payments are collected by Fursat.
  • Your B2B Price will be disbursed within 24 hours of guest check-in via UPI or bank transfer, as per your registered payment preference.
  • Detailed payment statements will be shared via WhatsApp or email for each booking.
  • Tax obligations: You are responsible for your own income tax and GST compliance. Fursat may deduct TDS (Tax Deducted at Source) under Section 194-O of the Income Tax Act, as applicable.

6. Availability and Calendar

  • You must keep your availability calendar accurate and up to date.
  • If your property is also listed on other platforms (Airbnb, Booking.com, etc.), Fursat will sync calendars via our channel management system to prevent double bookings.
  • Blocking dates must be communicated at least 24 hours in advance. Last-minute blocks on confirmed bookings will be treated as Host cancellations (see Section 8).

7. Guest Experience Standards

You agree to maintain the following minimum standards:

  • Cleanliness: The property must be clean, with fresh linens and towels for each guest.
  • Safety: Working locks, fire safety equipment (where applicable), and emergency contact information displayed.
  • Basic amenities: Clean drinking water, functional bathroom with hot water (where advertised), and adequate bedding.
  • Accurate representation: The property must match the Listing description. Any differences must be communicated to the Guest before arrival.
  • Responsiveness: Respond to Guest enquiries and issues within 2 hours during a stay.

8. Host Cancellations

  • If you cancel a confirmed booking, the Guest receives a full refund from Fursat.
  • Repeated cancellations (3 or more in a 6-month period) may result in Listing suspension or termination of this Agreement.
  • Cancellations due to genuine emergencies (property damage, natural disaster) must be communicated to Fursat immediately with documentation.

9. Guest Registration and Legal Compliance

You are responsible for:

  • Maintaining a guest register as required by local police or municipal authorities.
  • Filing Form C with the FRRO (Foreigners Regional Registration Office) within 24 hours for foreign national guests, as required under the Registration of Foreigners Act, 1939.
  • Complying with any other local, state, or central government regulations applicable to short-term rentals.

Fursat will provide reasonable assistance with guest information to help you meet these obligations.

10. Reviews and Ratings

  • Guests may leave reviews after their stay. Reviews are published on the Platform and may be shared on third-party booking channels.
  • You may respond to reviews publicly through the Platform.
  • Fursat does not edit or remove genuine reviews. Reviews that contain abusive language, personal attacks, or are demonstrably false may be removed at our discretion.
  • Properties with consistently low ratings (below 3.5 out of 5 over 10+ reviews) may be delisted.

11. Content and Intellectual Property

  • You grant Fursat a non-exclusive, worldwide, royalty-free licence to use your property photos, descriptions, and related content for the purpose of listing, marketing, and promoting your property on the Platform and third-party booking channels.
  • You warrant that you own or have the right to use all content you provide.
  • This licence continues for the duration of this Agreement and for 6 months after termination (to fulfil existing bookings and marketing obligations).

12. Data Protection

  • Guest personal data shared with you (name, phone, booking details) is shared solely for the purpose of fulfilling the booking.
  • You must not use Guest data for unsolicited marketing, share it with third parties, or retain it beyond the guest's stay, except as required by law.
  • You must handle Guest data in compliance with the Digital Personal Data Protection Act, 2023.

13. Liability and Insurance

  • You are solely liable for any injury, loss, or damage suffered by Guests at your property.
  • Fursat is not liable for any claims arising from the condition, safety, or legality of your property.
  • You agree to indemnify Fursat against all claims, damages, and expenses arising from your Listing or your breach of this Agreement.
  • We strongly recommend that you maintain adequate property insurance and public liability insurance.

14. Exclusivity

This Agreement is non-exclusive. You are free to list your property on other platforms, directly, or through other agents. However, you must ensure calendar synchronisation to prevent double bookings.

15. Termination

  • Either party may terminate this Agreement with 30 days' written notice (email is sufficient).
  • Fursat may terminate immediately if you breach this Agreement, engage in fraud, or receive persistent safety complaints.
  • Upon termination, all pending and confirmed bookings will be honoured. No new bookings will be accepted.
  • Your Listing will be removed from the Platform within 7 days of termination taking effect.

16. Dispute Resolution

  • This Agreement is governed by the laws of India.
  • Disputes shall first be resolved through good-faith negotiation.
  • If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat at Siliguri, West Bengal.
  • Courts at Siliguri, West Bengal shall have exclusive jurisdiction.
